Chat program for my trading business

I need a simple chat program where my clients and I can talk freely about business... I would like the chat program(software) to have these features: --Working off MySQL database --Multiple rooms, feature --Registration for my users, they can log-in with user name and password --Able to lock rooms with password --Able to privately message anybody in the chatroom --Have Administration privileges, able to ban, kickout users... --Be able to share files(like pictures, zip files, etc) in different formats with each other in chat... --Be able to save chat transcripts for viewing later... --Able to have smiles and emoticons for livelier interaction... --Able to support unlimited users... --Able to have a moderator session, like a guest speaker to the chat... --Possible voip using mic, for voice interactive chatting(optional)... --Able to place banners for advertisements... --Also needs a copyright statement for our business, allowing us to input the business name in... etc... I did strike up a business relationship with a chat software vendor, I was promised a chat software that would be out soon due to beta testing, but, I've grown tired of waiting, not knowing when it will get done...? Time is money, everyday that passes, is another day my clients are without chat that was promised to them... I will bid what I think is fair for this project and bonus the developer nicely afterwards... Thank you...
