Write a MOU agreement

I am looking for help Write MOU agreement, Company A registered in USA is going to sign a MOU agreement with Company B registered in Finland.
The purpose of the agreement is to develop a new product for automaker company C.
Responsibilities of Company A (Financial) : Pay the R&D cost fee, the reason why Company A would like to funding for this product R&D , because this product has potential for other automaker company too ( not only Company C)
Responsibilities of Company B (Product development): Responsible for product development and test to meet the requirement of company C. the reason why Company B would like to take effort for R&D this new product, because if this new product will use their patent (D) , once product successful, each product sell, they can earn license fee (X dollar per each)
Project Scope and phase is attached in Annex 1
IP license is attached in Annex 2
In this MOU, the content should merge Annex 1 and Annex 2 into one MOU.
Rights of Company A :

Responsibilities of Company B:
1. Can not sell the product and technologies platform to any other company.
2. Can not develop the same product and technologies directly or indirectly for automaker industry company.
Payment:
product R&D fee : Payment are divided according to project timeline ( step 1 ,step 2, step 3, step 3) .
Patent (D) fee: each product sell, company A should pay license fee (X dollar per each) to company B
