This document will be for independent contractors who wish to be Talent for Tao Staff. These contractors will set their own hours, make their own schedules, and work in an Agile environment. Useful Links: [login to view URL] [login to view URL] [login to view URL] Rules: 1. Those signing understand that they are independent contractors and are NOT employees. 2. Talent is responsible for upholding Taoist principles in their workflow. Exhibiting calm, peaceful, and meditative energy that represents the Tao Lifestyle. 3. Talent’s duties may shift at any time and Talent may be requested to work in any of the companies owned by or partnered with Tao Mgt Ltd, an Ohio LLC. 4. Talent’s contract is at-will and may be terminated at any time for any reason by Tao Mgt Ltd. 5. Talent must agree to NDA clause included in this agreement. 6. Talent must agree to 5-year non-compete clause that protects all IP, strategy, and business sectors talent learned while working with Tao Mgt Ltd. 7. Tao Mgt Ltd may distribute wages through room & board, goods, or real wages at the discretion of Tao Mgt Ltd. Tao Mgt Ltd may change the type of wages distributed at any time during this agreement. 8. Talent must complete 80 hours of Continuing Education Credits at Tao Academy per year minimum to maintain good standing with this agreement. Failure to do so allows Tao Mgt Ltd to terminate this agreement and all wages owed to Talent. 9. Increase in wages are to be performance-based in direct correlation with aptitude at Tao Academy and FocusPass Performance Results. 10. Wages are to be the minimum wage of the state of Ohio. 11. Commissions will be paid at 5% of the Profits garnered for the sale of any good or service sold where Talent does the entire Sale from marketing to client, describing product/service, and then assisting client or student in signing the contract to pay for product/service. Commissions will be disbursed to Talent 90 days after secured from client/student. 12. Commissions will increase with certifications earned at Tao Academy and based on FocusPass performance reviews. 13. Tao Learning basic membership, a division of Tao Academy will be free of charge to Talent for the duration of this agreement. 14. Must work for 2 years minimum and make $250,000, whichever is greater in sales to cover training and investment in career. - 1 clause just for this 15. Anything else we should include?
